Chapter I General Principles

Association name: Shanghai New Energy Industry Association (SNEIA).

The Association was established in accordance with the Regulations on the Administration of Registration of Social Organizations and the Provisions of Shanghai Municipality on Promoting the Development of Trade Associations. It is a non-profit industrial social group composed of new energy-related enterprises (including solar energy, wind energy, biomass energy, hydrogen energy and fuel cell technology, geothermal energy, ocean energy, renewable energy, new materials in the new energy system and the promotion of clean energy mechanism) and other relevant organizations.

Article 4

Chapter II Tasks, Scope of Business and Principles of Activities

Article 6

The mission of the Association is:

(a) according to the needs of members, organize market expansion, release market information, promote industry products or services, carry out industry training and provide consulting services.

(two) to formulate the rules and regulations of this industry, you can put forward suggestions to the relevant government departments to formulate relevant technical standards or participate in the formulation of relevant technical standards.

(3) Coordinating disputes arising from industry business activities among members, between members and non-members, and between members and consumers, coordinating related business matters between industry associations and other industry associations or other organizations, participating in collective consultations on behalf of the industry, and putting forward opinions and suggestions concerning the interests of the industry.

(4) According to the provisions of laws and administrative regulations, it may, on behalf of relevant enterprises or other economic organizations in the industry, file an application for anti-dumping investigation, countervailing investigation or taking safeguard measures with the relevant government departments, and assist the relevant government departments to complete relevant investigations. Trade associations can participate in anti-dumping activities.

Article 7

The business scope of this association is: information and academic exchange, technical consultation, project demonstration, quality standard, market service, education and training.

Article 8

The principles of our activities:

(1) The Association shall carry out activities in accordance with the approved articles of association, abide by relevant laws, regulations, rules and policies, and abide by social ethics;

(two) the activities of this association are honest and trustworthy, fair and just, and do not resort to deceit, which harms the interests of the state, other units and individuals;

(3) The Association will not engage in business activities in its name. To carry out activities in the name of business units, not to compete with enterprises in the industry;

(4) In carrying out activities, the Association should follow the principles of "democratic centralism" and "holding meetings independently", so as to be independent in work, independent in personnel and self-financed.

(5) Freedom to join and quit voluntarily.

Chapter III Members

Article 9

Members of this association are unit members. To apply for membership, they must meet the following conditions:

Enterprises in the same industry and other economic organizations;

Acknowledge the articles of association;

Join this association voluntarily.

Article 10

The membership procedure is:

(1) submitting an application for membership;

(2) The Board of Directors of this Association authorizes the Secretariat to examine and approve and issue relevant membership certificates.

Article 11

Members enjoy the following rights:

(a) The right to vote, to be elected and to vote;

(two) to participate in relevant activities organized by the association;

(three) to obtain the priority of our services;

(four) have the right to criticize, suggest and supervise the work of this association;

Article 12

Members shall perform the following obligations:

Abide by the articles of association, implement the resolutions of the association, abide by rules and regulations, and safeguard the interests of the industry.

Complete the work entrusted by the association, support and participate in various activities of the association.

Pay the membership fee as required.

Take the initiative to reflect the situation to this Council and provide relevant information and statements.

Article 13

A member who withdraws from the meeting shall submit a written letter to the Association.

If a member fails to pay the membership fee or participate in the activities of the association for no reason within two years, it will be regarded as automatic withdrawal.

Article 14

If a member seriously violates the national laws, regulations or articles of association, he/she shall be removed from the list and publicized with the consent of more than two thirds of the participants in the Council.

Chapter IV Organizational Structure

Article 15

The highest authority of this association is the general meeting of members. The functions and powers of the General Assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Article 16

The general meeting of members is held once a year. A general meeting of members shall be convened only when more than two thirds of the members are present, and its resolutions shall take effect only when more than two thirds of the members are present and vote.

Article 17

The congress is held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the Shanghai Social Service Bureau and the Shanghai Economic Commission for review, and approved by the Municipal Associated Press Administration. However, the term of office shall not be extended for more than one year.

Article 18

The association has a board of directors, which is the executive body of the general assembly, leading the association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.

Article 19

The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(two) to elect and recall the president, executive vice president and vice president;

(3) Convening a general meeting of members and reporting their work and financial status to the general meeting;

(4) To decide on the recall of members;

(5) Deciding to establish branches, representative offices and entity institutions;

(six) to decide on the appointment and removal of the principal responsible persons of branches, representative offices and units;

(7) To decide on the appointment and removal of the Secretary-General on the nomination of the President;

(eight) according to the nomination of the Secretary General, to decide the appointment and removal of the Deputy Secretary General;

(nine) to lead the work of various institutions;

(ten) to formulate and improve the financial management system;

(eleven) to decide on other major issues.

Article 20

The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

The Council shall meet at least once a year; Special circumstances can be held at any time.

Article 21

We will not set up a standing Council for the time being.

Article 22

The president, executive vice president and vice president of the Association must meet the following requirements:

(a) has a greater impact in the industry;

(2) The maximum working age is no more than 70 years old;

(3) Being in good health and able to stick to normal work;

(4) Having not been subjected to criminal punishment of deprivation of political rights;

(5) Having full capacity for civil conduct.

Article 23

The term of office of the chairman and vice-chairman of the association is four years, and the chairman may not be re-elected for more than two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two thirds of the members of the general assembly, reported to the competent business unit for examination and approval, and approved by the Municipal Association Administration before taking office.

Article 24

The executive vice president of the association is the legal representative, who mainly presides over the work;

The legal representative of the association has never been deprived of political rights, has full capacity for civil conduct, has no current public office in state organs and has good personal credit;

The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 25

The President of the Association shall exercise the following powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the General Assembly and the Council;

Article 26

The secretariat of the Association is the daily office of the Council. The Secretary-General presides over the day-to-day work of the Secretariat, and his position is as follows

See Article 22 for working conditions. The staff of the Secretariat shall be full-time, and the personnel distribution system and social security system shall be implemented in accordance with the relevant provisions of this Municipality.

Article 27

The Secretary General of the Association shall exercise the following functions and powers:

The Secretary-General of the Association accepts the leadership of the Council and strictly implements the resolutions of the General Assembly and the Council.

(1) Preside over the daily work of the Secretariat, strictly implement the financial management system adopted by the Council, and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the heads of branches, representative offices and entities and submitting them to the Council for decision;

(four) to decide on the appointment and dismissal of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 28

Sources of funds for the Association:

(1) membership fees;

(2) donation;

(three) to undertake the funding entrusted by government departments;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 29

The funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 30

The Association has established a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 31

The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 32

The asset management of this Association strictly implements the financial management system stipulated by the state and accepts the supervision of the members (representatives) congress and the financial department. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.

No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 33

Before the association changes its legal representative, it shall engage a professional audit firm to conduct an audit and issue an audit report.

Chapter VI Procedures for Amending the Articles of Association

Article 34

Amendments to the articles of association of this association shall be submitted to the general meeting of members for voting after deliberation by the Council.

Article 35

The revised articles of association shall be approved by the Shanghai Municipal Bureau of Social Services within 30 days after the adoption of the general meeting of members, and shall come into effect after being reported to the Municipal Bureau of Societies for approval.

Chapter VII Termination Procedure and Disposal of Property after Cancellation

Article 36

If it is necessary to cancel due to the completion of the purpose stipulated in the articles of association, dissolution or division or merger, the board of directors shall propose a termination motion.

Article 37

The motion for termination must be voted by the general meeting of members and reported to the Shanghai Social Service Bureau and the Shanghai Economic Commission for approval.

Article 38

Before the termination of this association, a liquidation working group shall be established under the competent business unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 39

The association is terminated after the cancellation of registration by the Municipal Association Administration.

Article 40

The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the Municipal Association Administration in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 41

The Articles of Association was passed by voting at the Fourth General Meeting of the Third Session of the Company on August 5, 2007.

Article 42

The right to interpret the Articles of Association belongs to the Council of the Association.

Article 43

The Articles of Association shall come into effect as of the date of approval by the Municipal Association Administration.
