Articles of Association of Southeast University Alumni Association (Trial Draft)

Chapter I General Provisions

Article 1 This Association is called "Southeast University Alumni Association", which is translated into English as Southeast University Alumni Association and abbreviated as GAASU in English.

Article 2 The Association is a joint, national and non-profit social organization composed of alumni from Southeast University and its predecessor, Central University, Nanjing Institute of Technology, Nanjing Railway Medical College, Nanjing Jiaotong University and Nanjing Geological School.

Article 4 This Association shall accept the business guidance of the Ministry of Education, which is the competent business unit, and the supervision and management of the Ministry of Civil Affairs, which is the registration authority of associations.

Article 5 The meeting place of this Association is located in Southeast University, No.2 Sipailou, Nanjing, Jiangsu Province (postcode 2 10096).

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(1) Carry forward the fine tradition and style of study of our alma mater, and encourage alumni to make continuous contributions to the motherland in academic and career construction, thus encouraging the growth of students in school;

(2) through activities such as friendship with overseas alumni, we can enhance our understanding of the motherland and contribute to the great cause of reunification and the rejuvenation of China;

(three) to promote the construction and development of alumni at home and abroad, and to assist the alma mater in teaching, scientific research, academic and cultural exchanges;

(4) Strengthen contact with alumni organizations of Southeast University at home and abroad, collect alumni information, exchange information and increase cohesion;

(5) Editing and publishing Southeast University alumni newsletter, alumni address book, etc.

(six) other activities in line with the purpose of this association.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Article 8 The unit members and individual members who apply to join the Association must meet the following conditions:

(a) support the articles of association;

(2) Voluntary participation in this Association;

(three) is an alumnus of Southeast University, who meet one of the following conditions for alumni:

Graduates, dropouts, advanced students, adult education, international students who have studied in Southeast University and its predecessor, Central University, Nanjing Institute of Technology, Nanjing Railway Medical College, Nanjing Jiaotong University and Nanjing Geological School;

There are part-time teachers, honorary professors, visiting professors and visiting scholars who have served as teachers in Southeast University and its predecessor, Central University, Nanjing Institute of Technology, Nanjing Railway Medical College, Nanjing Jiaotong University and Nanjing Geological School.

Article 9 The procedures for joining the club are as follows:

(1) Alumni who meet the above conditions must submit an application for membership;

(2) those who meet the requirements are submitted to the Council for discussion and approval, that is, individual members of the association;

(3) All alumni organizations at home and abroad that meet the above conditions should apply for membership and become members of the association after discussion and approval by the Council;

(4) The Board of Directors of the Association authorizes the Alumni Association Office to issue membership cards.

Article 10 Members shall enjoy the following rights:

(a) To have the right to vote, to be elected and to vote in the election of institutions and leading members of this Council;

(two) to participate in various activities organized by the association, put forward suggestions and opinions, and exercise supervision;

(3) giving priority to the use of relevant publications, materials and other services of the Association;

(four) to make suggestions and criticisms on the work of the alma mater;

(5) Alumni join the club voluntarily, and members can quit freely.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to complete the work assigned by the association, and to participate in and support the activities organized by the association;

(four) to pay membership fees to help raise funds for the association;

(five) to reflect the situation to the bureau, provide relevant information and materials, and actively contribute to the newsletter of Southeast University alumni.

Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities organized by the association for one year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Creation and Removal of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing the directors of the Association, forming the Council, and removing the directors when necessary;

(three) to consider the work report and financial report of the Council;

(four) to discuss and decide on the major work of the association and decide to terminate it.

Fifteenth members' congress can only be held when more than two thirds of the representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The term of office of a member congress is four years. If it needs to be changed or postponed in advance due to special circumstances, it must be voted by the Council, reported to the Ministry of Education for review and approved by the Ministry of Civil Affairs. The extension period shall not exceed one year.

Article 17 The Council is the executive body of the general meeting of members, leading the daily work of the Council during the intersessional period and being responsible to the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress and make suggestions;

(five) to discuss and decide the working principles and major issues of the Association and agree to the general election of the next Council;

(six) to decide to absorb or recall members;

(seven) decided to set up offices, branches, etc. and lead them to carry out their work;

(eight) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The term of office of the Council is four years, and it may be re-elected. The Council shall meet at least once a year. Under special circumstances, it can be convened by means of communication.

Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, and its number shall not exceed 1/3 of the number of directors. Exercise the functions and powers of Article 18 when the Council is not in session and be responsible to the Council.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Article 24 The President, Vice-President and Secretary-General of the Association shall be elected from among the individual members of the Alumni Association and must meet the following conditions:

(a) adhere to the party's principles, lines and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The president, vice-president and secretary-general have a maximum service life of 70 years, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Twenty-fifth president, vice president, secretary general over the maximum age, approved by the Council, and reported to the Ministry of education, the Ministry of civil affairs for approval before taking office.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and they may be re-elected for a second term, but the longest term may not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the member congress, reported to the Ministry of Education for review, and approved by the Ministry of Civil Affairs before taking office.

Article 27 The president of this Association is the legal representative of this Association. If due to special circumstances, the vice president and the Secretary-General need to be the legal representatives, they can be appointed only after being examined by the Ministry of Education and approved by the Ministry of Civil Affairs.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

(1) Convening the Presiding Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress and the Council;

(3) Signing relevant important documents on behalf of this Council.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the Alumni Association Office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches and representative offices;

(3) Nominating the Deputy Secretary-General and the heads of offices, branches and representative offices, and submitting them to the Council for decision;

(four) to decide on the employment of full-time staff in offices and representative offices;

(five) keep in touch with domestic and foreign alumni associations;

(six) to assist in receiving domestic and foreign alumni to visit, visit and give lectures;

(seven) to organize the editing and publication of Southeast University alumni newsletter and other publications;

(eight) to handle other daily work.

Thirtieth Association may employ some outstanding senior alumni as honorary presidents and honorary directors of the Association to guide the work.

Honorary presidents and honorary directors can only be appointed after being examined and approved by the Council or the Standing Council.

Chapter V Principles of Asset Management and Use

Article 31 Sources of funds of the Association

(a) according to the relevant provisions of the state to collect membership fees;

(2) Financial aid provided by the alma mater;

(3) donations from alumni and enthusiasts;

(4) applying for funding from the government;

(5) interest;

(6) Other lawful income.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 The financial management of this Association is entrusted to the Finance Department of Southeast University, and it is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of the audit department and publish relevant information to the society in an appropriate way.

Article 36 Before changing its legal representative, the association must accept the financial audit organized by the Ministry of Civil Affairs and the Ministry of Education.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.

Article 40 The revised articles of association of this Association shall be submitted to the Ministry of Education for examination and approval within 15 days after being adopted by the members' congress, and shall take effect after being approved by the Ministry of Civil Affairs.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 42 A motion to terminate this association must be voted by the members' congress and submitted to the Ministry of Education for approval.

Forty-third before the termination of this association, a liquidation organization must be established under the guidance of the Ministry of Education and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 44 The Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.

Article 45 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Education and the Ministry of Civil Affairs and in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the general meeting on June 6, 1999 at/kloc-0.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
