Chapter I General Principles

Name of the first group: Shuyang Flower Association.

Second Shuyang County Flower Association (hereinafter referred to as the Association) is a professional non-profit mass organization composed of flower scientific and technological personnel and large flower producers and sellers voluntarily; Is to carry out flower research, organize and coordinate flower production and flower marketing in our county, and carry out industrial management.

Article 3 The purposes of this Association are: to adhere to the Four Cardinal Principles, to abide by the Constitution, laws, regulations and other national policies, and to abide by social ethics; Display and popularize scientific and technological achievements, improve the technical level, marketing methods and moral standards of flower producers and operators in our county through personnel training and technical consultation, and promote the sustained, efficient, healthy and stable development of flower industry in our county.

The purpose of this association is: through the efforts of this association, our county's flower products will be sold to all parts of the motherland, and we will go abroad and go to the world as soon as possible, making contributions to the ecological balance and environmental beautification of mankind and effectively promoting the development of our county's local economy.

Article 4 The competent business department of this Association is the County Agriculture and Forestry Bureau, which is registered in the County Civil Affairs Bureau and accepts the business guidance, supervision and management of the above two bureaus.

Article 5 The meeting place of this Association is located in Shuyang County Agriculture and Forestry Bureau.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

Publicize and implement the guidelines, policies and regulations of the state and governments at all levels on flower production and marketing, and study and formulate the planning and management measures for flower production in our county. Provide a basis for leadership decision-making and be a good staff member.

Analyze and study the problems existing in the production, circulation and management of flowers in the county, and put forward opinions and suggestions to solve the problems.

Collect, sort out and transmit information on flower production, circulation and management inside and outside the county, and summarize, exchange and popularize information and experience on flower production, circulation and management.

Introduce and display new fine varieties and new technologies, do a good job in experiments and demonstrations, and guide farmers to develop high-quality and efficient flower production.

Provide training, consulting and contracting services for the development of flower production in this county, including seedling and bonsai production, technology, information, materials, capital and marketing services.

Chapter III Members

Article 7 Members of this Association are divided into individual members and unit members.

Article 8 A member who applies to join this Association must meet the following conditions: support the articles of association of this Association; Have the will to join this association; Agricultural science and technology personnel engaged in flower technology promotion in our county; Experienced flower farmers, large-scale producers and marketers of flowers and bonsai with certain influence in this industry.

Article 9 Membership procedures

Article 10 Members shall enjoy the following rights

Article 11 Members shall perform the following obligations

4. Pay membership dues according to regulations;

(5) Report the production, supply and sales of bonsai flowers in our county and provide relevant information;

Seriously study the production, supply, marketing and related technologies and strategies of flower bonsai, and constantly improve the business level to serve the flower production in our county;

Article 12 A member who withdraws from the Association shall notify the Association in writing and return his membership card. Members 1 year who fail to pay their membership dues or participate in group activities of the association are deemed to have withdrawn automatically.

If a member violates the relevant state laws and regulations and the Articles of Association, it shall be removed by the Standing Council.

Article 13 All members shall hold a regular meeting every quarter and an annual meeting at the end of each year or the beginning of the following year. Other meetings and activities should be notified two days in advance.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the general meeting of members, and its functions and powers are as follows

1. Formulate and modify the articles of association of this Association;

(2) to elect and recall the President;

3. To consider the work report and financial report of the Council;

4. Decided to terminate;

5. Decide on other major issues;

Article 15 A general meeting of members shall be held only when more than two thirds of the members are present, and its resolutions shall take effect only when more than half of the members are present.

Article 16 The general meeting of members shall be held every three years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the Agriculture and Forestry Bureau of the competent business unit for review, and approved by the Civil Affairs Bureau of the registration administration organ of the Association. However, the longest extension shall not exceed 1 year.

Article 17 The board of directors of this Association is composed of the president and the chairman, and the board of directors is the executive body of the general assembly. During the intersessional period, the leading group will carry out daily work and be responsible to the general meeting of members.

Article 18 The functions and powers of the Council are:

To implement the resolutions of the general meeting of members;

2. To elect and recall the president, vice-president and secretary-general;

3. Prepare for the general meeting of members;

4. Report the work and financial situation to the general assembly;

5. Decide to accept or expel members;

6. Decide to establish offices, branches, representative offices and entities;

To decide on the appointment and removal of the Deputy Secretary-General and the principal responsible persons of various institutions;

8. To lead the work of various institutions of the Association;

9. Formulate internal management system;

10. Decide on other important matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year, and special circumstances may be decided at any time.

Article 21 The Group has a standing board of directors, which is elected by the board of directors. When the board of directors is not in session, it shall exercise the functions and powers in Item 1, Item 3, Item 5, Item 6, Item 7, Item 8 and Item 9 of Article 18 and be responsible to the board of directors (the number of standing directors shall not exceed 0.3 of the number of 65,438+directors).

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall hold a meeting every quarter.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

First, adhere to the party's line, principles and policies with good political quality;

(2) It has great influence in the business field of the Group;

3. The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;

(4) Being healthy and able to work normally;

5. No criminal punishment;

6. Have full capacity for civil conduct.

Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council and reported to the Agriculture and Forestry Bureau and the Civil Affairs Bureau for approval before taking office.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years (the term of office of the President, Vice-President and Secretary-General shall not exceed two terms at the longest). If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the general meeting of members and reported to the Agriculture and Forestry Bureau and the Civil Affairs Bureau for approval before taking office.

Article 27 The president of this Association shall be the legal representative of this Association.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

Responsible for the overall work of the association;

Convene and preside over the Council and the Standing Council;

3. Check the implementation of the resolutions of the General Assembly, the Council and the Standing Council;

(four) after the approval of the Council, sign the relevant important documents on behalf of the association;

Article 29 The chairman shall exercise the following functions and powers:

1. concurrently serves as the president of the branch;

Responsible for the daily affairs of the branch;

Article 30 The Secretary-General of this Association shall exercise the following functions and powers:

1. Preside over the daily work of the office and organize the implementation of the annual work plan;

Coordinate the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

To decide on the employment of full-time staff in offices, representative offices and entities;

Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 31 Sources of funds of the Association

Financial assistance of a county;

Accept donations from friendly units or individuals;

Membership fee;

Income from activities or services provided within the approved business scope;

Other lawful income.

Article 32 the association collects membership fees in accordance with relevant state regulations.

Article 33 the group funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 34 The Association shall establish a strict financial management system; Ensure that accounting information is legal, true, accurate and complete.

Article 35 An association shall be equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 36 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state grants or donations and subsidies from social organizations, they must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.

Thirty-seventh before the association changes its legal representative, it must accept the financial audit organized by the Agriculture and Forestry Bureau and the Civil Affairs Bureau.

Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 39 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of the state on public institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 40 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the general meeting of members for deliberation.

Article 41 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the general meeting of members, reviewed and approved by the Agriculture and Forestry Bureau and reported to the Civil Affairs Bureau for registration and approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Forty-second after the completion of the purpose of the association or its own dissolution or due to separation, merger and other reasons need to be revoked, the Council or the Standing Council shall propose a termination motion.

Article 43 The motion to terminate the association shall be voted by the general meeting of members and submitted to the Agriculture and Forestry Bureau for examination and approval.

Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the Agriculture and Forestry Bureau and the Civil Affairs Bureau to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 45 The Association shall terminate after the liquidation registration formalities are completed by the Civil Affairs Bureau.

Article 46 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the Agriculture and Forestry Bureau and the Civil Affairs Bureau in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 47 The Articles of Association was adopted by the shareholders' meeting on February 36, 2002.

Article 48 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 49 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Bureau.
