16. The legal representative is responsible for the external guarantee on behalf of the company.

(1) If the legal representative's ultra vires guarantee behavior causes losses to the company, and the company requests the legal representative to assume the liability for compensation, the people's court shall support it according to law.

(2) If the company has not brought a lawsuit, and the shareholders request the legal representative to bear the liability for compensation according to Article 15 1 of the Company Law, the people's court shall support it according to law.
