Responsibility for the legal representative’s ultra vires in providing external guarantees on behalf of the company

(1) If the legal representative's ultra vires guarantee behavior causes losses to the company, and the company requests the legal representative to bear compensation liability, the people's court will support it in accordance with the law.

(2) The company does not file a lawsuit, but if a shareholder requests the legal representative to bear compensation liability in accordance with Article 151 of the "Company Law", the people's court will support it in accordance with the law.
