Article 8 Members who apply to join the association must meet the following conditions:

Article 13 Members who wish to withdraw from membership should notify the Association in writing and return their membership cards.
If a member fails to pay membership fees as required or does not participate in the association's activities for one year, he will be deemed to have automatically withdrawn from the membership and his membership will be cancelled.
Article 14 If a member fails to abide by the Association's Articles of Association, the Association will criticize and educate him; if a member seriously violates the Association's Articles of Association, he will be removed from the membership by vote of the Board of Directors. Article 15 The highest authority of the Association is the Member Congress. Member representatives are selected in accordance with the "Measures for Selection of Representatives at the Member Representative Conference of Shandong Electric Power Enterprises Association". The powers of the Member Congress are:
(1) Formulate and amend the charter;
(2) Elect and remove directors (by secret ballot);
(3) Review the annual work report and annual financial budget and final accounts report of the Board of Directors;
(4) Decide on termination matters;
(5) Formulate and modify the election methods for the association’s organizational structure ;
(6) Determine the business scope and work functions of the association within the scope of laws and regulations;
(7) Formulate and modify membership dues standards;
(8) Change and revoke inappropriate decisions of the Board of Directors;
(9) Decide on other major matters.
Article 16 The Member Congress must be attended by more than 2/3 of the member representatives, and its resolutions must be voted by more than half of the member representatives present to take effect.
The member congress shall keep minutes of the decisions on matters discussed and announce them to all members.
Article 17 The Member Congress shall be held for five years. If the election needs to be advanced or postponed due to special circumstances, it must be voted by the board of directors, reported to the Shandong Electricity Supervision Office for review and approved by the Shandong Provincial Department of Civil Affairs. The maximum period of postponement shall not exceed 1 year.
If the board of directors deems it necessary or more than one-fifth of the members propose it, it can convene an extraordinary general meeting of members.
The Member Representative Conference is presided over by the Presidium of the Member Representative Conference, which is composed of nominations from the previous council.
Article 18 The Association shall establish a Board of Directors. The Board of Directors is the executive body of the Member Congress. During the inter-session period, it performs its duties in accordance with the provisions of the Association's Articles of Association and the resolutions of the Member Congress, leads the Association to carry out daily work, and is responsible to the Member Congress.
Article 19 The functions and powers of the Board of Directors are:
(1) Implement the resolutions of the Member Congress;

(3) Prepare to convene a member representative meeting;
(4) Report to members The congress reports on the annual work and annual financial status;

(12) Decide on other major matters.
Article 20 The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolution must be approved by more than 2/3 of the directors present before it can take effect.
The board of directors shall formulate minutes of the effective resolutions and inform all members.
Article 21 The Board of Directors shall hold at least one meeting per year. Under special circumstances, it may also be held by communication.
Article 22: Board meetings shall be convened and presided over by the president. If the president is unable to perform his duties due to special reasons, the president shall entrust the vice president or secretary-general to convene and preside over the meeting. More than 1/3 of the directors can jointly propose a meeting of the board of directors.
Article 23 The president, vice president, and secretary-general of the association must meet the following conditions:
(1) Adhere to the party’s line, principles, and policies, and abide by the state’s Laws and regulations, and good political quality;
(2) Have a greater influence in the power industry;
(3) The maximum age of the president, vice president, and secretary-general shall not exceed 65 years old;
(4) In good health and able to work normally;
(5) Not subject to any criminal punishment;
(6) Having full civil rights behavioral capacity.
Article 24 If the president, vice president, and secretary-general of the association exceed the maximum age for office, they must be voted by the board of directors, reported to the Shandong Electricity Supervision Office for review, and approved by the Provincial Department of Civil Affairs. , before you can take office.
Article 25 The president, vice-president and secretary-general of the Association shall be elected by the Board of Directors, with each term of office being 5 years. Can be re-elected, but the president shall not be re-elected for more than two terms. The president and secretary-general cannot belong to the same unit, and the president cannot concurrently serve as secretary-general.
If the term of office needs to be extended due to special circumstances, it must be voted by more than 2/3 of the member representatives at the Member Congress, reported to the Shandong Electricity Supervision Office for review, and approved by the Provincial Department of Civil Affairs before the term can be held.
Article 26 The association shall have one president, 5 to 10 vice-presidents, and one secretary-general. The president, vice-president or secretary-general can serve as the legal representative of the association. The legal representative of the association shall not concurrently serve as the legal representative of other social organizations.
The association shall have one honorary president and 3 to 5 honorary vice-presidents.
The association employs 2 to 3 deputy secretaries-general, who are full-time.
Article 27 The president of the association shall exercise the following powers:
(1) Convene and preside over board meetings;

(4) Handling other major matters of the Association;
(5) Other powers granted by the Board of Directors.
Article 28 The Secretary-General carries out his work under the leadership of the President, and the Secretary-General is responsible to the Board of Directors. The Secretary-General exercises the following powers:
(1) Preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinate the development of branches, representative offices and entities Work;
(3) Nominate the deputy secretary-general and the main persons in charge of offices, branches, representative offices and entities, and report to the Board of Directors for decision;

(10) Handle other daily affairs. Article 29 Sources of funding for the association:
(1) Membership fees;
(2) Donations;
(3) Government funding;
(4) Income from activities or services within the approved business scope;
(5) Interest;
(6) Other legitimate income.
Article 30: The Association collects membership dues in accordance with relevant national regulations and the Association’s Articles of Association.
Article 31 The funds of the Association must be used for the development of the business scope and undertakings stipulated in this Articles of Association and shall not be allocated among members.
Article 32 The Association implements the "Accounting System for Private Non-Profit Organizations". The association should establish a strict financial management system, conduct accounting in accordance with the law, establish and improve an internal accounting supervision mechanism, and ensure that accounting information is legal, authentic, accurate and complete.
Article 33 The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or leave their jobs, they must clear the handover procedures with the person who takes over.
Article 34 The asset management of the Association must implement the financial management system prescribed by the state and accept the supervision of the Member Congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies, and the relevant information must be announced to the public in an appropriate manner.
Article 35 The association must accept the financial audit organized by the Provincial Department of Civil Affairs and the Shandong Electricity Supervision Office before changing its term or legal representative.
Article 36 The assets of the Association shall not be misappropriated, privately divided or misappropriated by any unit or individual.
Article 37 The wages, insurance, and welfare benefits of the Association’s full-time staff shall be implemented with reference to the relevant national regulations for public institutions.
Article 38 When accepting donations and funding, the Association shall abide by laws and regulations and shall not make apportionments or disguised apportionments in any form.
Donors, sponsors and members of the Association have the right to inquire about the use and management of donated and funded properties and put forward opinions and suggestions to the Association. The Association shall respond promptly and truthfully to inquiries from donors, sponsors and members of the Association.
Article 39 The association’s legitimate service income is mainly used to make up for office expenses and welfare subsidies for full-time staff. Article 40 Modifications to the Association’s Articles of Association must be voted and approved by the Board of Directors before being submitted to the Member Congress for review.
Article 41 The revised articles of association of the Association must be reviewed and approved by the Shandong Electricity Supervision Office within 15 days after being adopted by the Member Congress, and shall be reported to the Provincial Department of Civil Affairs for approval before taking effect.
Article 42 If the Association meets one of the following circumstances, the Board of Directors shall propose a motion to terminate:
(1) The purpose stipulated in the charter has been completed;
(2) 1/3 The above members jointly propose dissolution;
(3) The Association is split or merged;
(4) It is unable to continue working in accordance with the purposes stipulated in the Articles of Association.
Article 43 The motion to terminate the association must be voted and approved by the member representative meeting and reported to the Shandong Electricity Supervision Office for review and approval.
Article 44 Before the association is terminated, a liquidation organization must be established under the guidance of the Shandong Electricity Supervision Office and relevant authorities to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall go to the Provincial Department of Civil Affairs to complete the deregistration procedures within 15 days from the date of completion of liquidation.
Article 45 The association will be terminated after the cancellation of registration procedures is completed by the Provincial Department of Civil Affairs.
Article 46 The remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association under the supervision of the Shandong Electricity Supervision Office and the Provincial Department of Civil Affairs and in accordance with relevant national regulations. Article 47 This Article of Association was voted and approved by the Member Congress on April 16, 2013.
Article 48 The right to interpret this charter belongs to the Council of the Association.
Article 49 This Article of Association shall take effect from the date of approval by the Provincial Department of Civil Affairs.
