Chapter 1 General Provisions

Article 1 The name of this society: China Oil Painting Society

The English name is: China Oil Painting Society

Article 2 Nature of this society: This society is composed of experts and scholars from all over the country and overseas (mainly domestic) who are interested in promoting the creation, research, and education of Chinese oil painting art, as well as professional art units related to oil painting art (such as universities, painting academies, etc. ) is a voluntary non-profit academic organization.

Chapter 2 Business Scope

Article 6 Business Scope of the Society:

⑶ Carry out academic exchanges on Chinese and foreign oil paintings and introduce contemporary Chinese oil paintings to the world to promote Chinese culture.

⑷ Found academic newspapers and organize the compilation and publication of relevant professional works.

Chapter 3 Members

Article 7 The types of members of this society: group members, individual members, and honorary members.

Article 8 Members who apply to join this society must meet the following conditions:

⑴ Experts in the creation, research and education of oil painting who support the charter of this society and meet the membership conditions , scholars and other social activists who are enthusiastic about oil painting.

⑵ Have the intention to join the society.

⑶ Individual members: oil painters who have outstanding achievements in oil painting creation and strong research capabilities; researchers or teaching staff with deputy senior professional titles or above who have made research results in the oil painting profession; provincial and municipal level or above Art organization workers who have made outstanding achievements in carrying out oil painting academic activities.

⑷ Group members: professional academic groups and organizations with certain authority in local or related fields (group organizations must have no less than five members).

⑸ Honorary members: Oil painters and researchers at home and abroad with international academic influence and other well-known social figures who support the development of Chinese oil painting.

Article 9 Membership membership procedures:

⑴ Submit an application for membership.

⑵ Introduced by two directors.

⑶ Discussed and approved by the Standing Council.

⑷ A membership certificate will be issued by the Council or the Membership Department of the China Oil Painting Society authorized by the Council.

Article 10 Members enjoy the following rights:

⑴ The right to vote and be elected within the society.

⑵ Give priority to participating in academic activities organized by the society.

⑶ Obtain various academic materials from the society.

⑷ The right to criticize, suggest and supervise the work of the society.

⑸ Recommend outstanding individuals, groups, works, and writings to the society.

⑹ You can join and withdraw from the membership freely.

Article 11 Members shall perform the following obligations:

⑴ Implement the resolutions of the society;

⑵ Complete the tasks entrusted by the society, actively participate in the work of the society and Academic activities;

⑶ Provide information and materials to the society and assist the society in carrying out oil painting art exchange activities;

⑷ Safeguard the legitimate rights and interests of the society;

⑸ According to regulations Pay membership dues;

Article 12: Members who wish to withdraw from membership shall notify the Society in writing. If a member fails to pay membership dues on time or does not actively participate in the Society's activities, he or she will be deemed to have automatically withdrawn from membership.

Article 13 If a member seriously violates this Articles of Association, he or she will be removed from the membership upon a vote by the Board of Directors or the Standing Board of Directors.

Chapter 4: The Establishment and Removal of Organizational Structure and Persons in Charge

Article 14 The highest authority of the Society is the Member Congress, and the powers of the Member Congress are:

⑴ Formulate and amend the charter;

⑵ Elect and remove directors;

⑶ Review the work report and financial report of the board of directors;

⑷ Decide on major matters of the society;

⑸ Decide on termination matters;

Article 15 The member congress can only be held if more than 2/3 of the representatives are present, and its resolution must be passed by It must be approved by more than half of the members of the association to take effect.

Article 16 The Member Congress shall be held for five years. If the term change needs to be advanced or postponed due to special circumstances, it must be voted by the board of directors, reported to the business supervisory unit for review and approved by the society registration and management authority. However, the maximum period of postponement shall not exceed 1 year.

Article 17 The Board of Directors is the executive body of the Member Congress. The Board of Directors is elected by the Member Congress, and its members must have a high academic level, have an upright style, and act in accordance with the Society's charter. The Board of Directors is held every five years, and some members are re-elected at each term. The replacement rate is less than 1/3 to maintain the continuity of the work of the Board of Directors. The Standing Council is the permanent body of the Council and meets regularly to study the daily work of the Society. During the inter-sessional period of the Standing Council, the presidium meeting composed of the Chairman, Vice Chairman and Secretary-General makes work decisions on behalf of the Standing Council. Article 18 The functions and powers of the Board of Directors are:

⑴ Implement the resolutions of the Member Congress.

⑵ Elect and remove the president, vice president and secretary-general of the society.

⑶ Prepare to hold a member representative meeting.

⑷ Report work and financial status to the Member Congress.

⑸ Decide on the admission or expulsion of members.

⑹ Decide to establish offices, branches, representative offices, and entities.

⑺ Decide on the appointment of deputy secretary-generals and principal leaders of various agencies.

⑻ Lead the work of various institutions of the society.

⑼ Develop internal management system.

Article 19 The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolution must be passed by more than 2/3 of the directors present before it can take effect.

Article 20 The Board of Directors shall hold at least one meeting per year, and may also be held by communication in special circumstances.

Article 21 The Society shall establish a Standing Council. The Standing Council is elected by the Board of Directors. During the inter-session period of the Standing Council, the Presidium exercises the functions and powers specified in Items 1, 3, 5, 6, 7, 8 and 9 of Article 18 and is responsible to the Board of Directors (the number of standing directors does not vary). Article 22 The Standing Council must be attended by more than 2/3 of the standing directors before it can be convened, and its resolutions must be approved by more than 2/3 of the standing directors present at the meeting to take effect.

Article 23 The Standing Council shall hold a meeting at least once every six months; under special circumstances, it may also be held by communication.

Article 24 The chairman, vice-chairman, and secretary-general of this society must meet the following conditions:

⑴ Adhere to the party’s line, principles, and policies, and have good political quality;

⑵ Have a greater influence in the business field of the society;

⑶ The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70 years old, and the secretary-general shall be full-time;

⑷ Be in good health and able to work normally;

⑸ Have not been subject to criminal punishment depriving political rights;

⑹ Have full capacity for civil conduct.

Article 25 If the chairman, vice-chairman or secretary-general of the society exceeds the maximum age for office, they must be voted by the board of directors, reported to the business supervisory unit for review and approved by the society registration and management authority before they can hold office. .

Article 26 The term of office of the chairman, vice-chairman and secretary-general of this society is five years. (The term of office of the chairman, vice-chairman and secretary-general shall not exceed two terms at most. If the term of office needs to be extended due to special circumstances, it shall be approved by a vote of more than 2/3 of the member representatives at the member representative conference, and shall be reported to the business supervisory unit for review and approved by the society registration and management authority. Article 27 The legal representative of the association shall not serve as the legal representative of other associations.

Article 29 The Secretary-General of the Society shall exercise the following powers:

Chapter 5 Principles of Asset Management and Use

Article 30: Funding Sources of the Society

Article 30. Article 1 The society collects membership dues in accordance with relevant national regulations.

Article 32. The funds of the society must be used for the development of business scope and undertakings stipulated in this charter and shall not be distributed among members.

Article 33: The Society has established a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.

Article 34: The Society is equipped with professionally qualified accounting personnel. . Accountants must not serve as cashiers. Accountants must perform accounting and implement accounting supervision. When accounting personnel are transferred or leave their jobs, they must go through the handover procedures with the takeover personnel.

Article 35: Asset management of the society. It must implement the financial management system prescribed by the state and accept the supervision of the member congress and the financial department. If the source of assets is state appropriation or social donation or funding, it must accept the supervision of the audit agency and disclose the relevant information to the public in an appropriate manner.

Article 36 The society must accept the financial audit organized by the society registration and management authority and the business supervisory unit before changing its term or legal representative.

Chapter 6 Procedures for Amending the Articles of Association

Article 39: Modifications to the Articles of Association of the Society must be voted and approved by the Board of Directors before being submitted to the Member Congress for review.

Article 40 The revised articles of association of this association must be reviewed and approved by the business supervisory unit within 15 days after being adopted by the member representative meeting, and shall be reported to the society registration authority for approval before taking effect.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 41 If the Society has completed its purpose or disbanded on its own, or needs to be canceled due to division, merger, etc., the Executive Director shall A motion to terminate will be filed.

Article 42 The motion to terminate the society must be voted and approved by the member representative meeting and reported to the business supervisory unit for review and approval.

During the period of liquidation, no activities other than liquidation shall be carried out.

Article 44 The society will be terminated after the deregistration procedures are completed by the society registration and management authority.

Article 45 The remaining property after the termination of the Society will be used to develop undertakings related to the purpose of the Society under the supervision of the business supervisory unit and the society registration and management authority and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 46 This Article of Association was voted and approved by the Member Congress on the year, month and day.

Article 47 The right to interpret this charter belongs to the board of directors of this society.

Article 48 This Article of Association shall take effect from the date of approval by the society registration and management authority
