Provisions on the administration of registration of business scope of enterprises:

Article 1 These Provisions are formulated in accordance with the relevant laws and administrative regulations for the purpose of regulating the administration of registration of business scope of enterprises, regulating business activities of enterprises and protecting the legitimate rights and interests of enterprises.

Article 2 These Provisions shall apply to enterprises registered in People's Republic of China (PRC).

Article 3 The business scope refers to the business scope of an enterprise registered by the enterprise registration authority according to law.

Applicants should refer to the classification of national economic industries, select one or more subcategories, middle categories or large categories, and independently apply for business scope registration. For emerging industries or specific business projects that are not standardized in the national economic industry classification, you can refer to policy documents, industry habits or professional documents to apply.

The business scope of an enterprise shall be consistent with its articles of association or partnership agreement. Where the business scope changes, the enterprise shall amend its articles of association or partnership agreement and apply to the enterprise registration authority for registration of change.

Article 4 Where the business scope of an enterprise applying for registration belongs to the business items that must be approved before registration according to laws, administrative regulations or the State Council decisions (hereinafter referred to as pre-licensed business items), it shall apply for registration with the enterprise registration authority with the approval documents and certificates of the examination and approval authority before applying for registration.

Where the business scope of the enterprise applying for registration belongs to the business projects that must be approved after registration as stipulated by laws, administrative regulations or the State Council decisions (hereinafter referred to as licensed business projects), the business activities of the licensed business projects shall be approved and registered by the enterprise registration authority according to law before they can be carried out.

Article 5 The enterprise registration authority shall register the pre-approved business projects according to the approval documents and certificates of the examination and approval authority. If the pre-approved business items are not clearly indicated in the approval documents and certificates, the registration shall be handled in accordance with the relevant laws, administrative regulations or the provisions of the the State Council decision and the classification of national economy industries.

For business projects other than pre-licensed business projects, the enterprise registration authority shall register according to the articles of association, partnership agreement or application, with reference to the national economic industry classification and relevant policy documents, industry habits or professional documents.

The enterprise registration authority shall mark "(projects that must be approved according to law can only be carried out after the approval of relevant departments)" after the business scope.

Article 6 If the business scope of an enterprise includes licensed projects, the enterprise shall, within 20 working days from the date of obtaining the approval documents and certificates from the examination and approval authorities, publicize the approval documents and certificates, the examination and approval authorities, the examination and approval contents, the validity period and other matters to the public through the enterprise credit information publicity system. Among them, if the business scope applied for when an enterprise is established includes pre-licensed business projects, the enterprise shall publicize it to the public within 20 working days from the date of establishment.

Where the approval documents and certificates of the examination and approval authority are changed, the enterprise shall, within 20 working days from the date of approval of the change, publicize the relevant changes to the public through the enterprise credit information publicity system.

Article 7 The business scope of an enterprise shall include or embody the industry or business characteristics in the enterprise name. For cross-industry enterprises, the industry to which the first business item in its business scope belongs is the industry to which the enterprise belongs.

Article 8 If an enterprise changes its business scope, it shall apply to the enterprise registration authority for registration of change within 30 days from the date when the enterprise makes a resolution or decision on change. Among them, if a partnership enterprise or a sole proprietorship enterprise changes its business scope, it shall apply to the enterprise registration authority for registration of change within 15 days from the date of making the change decision.

Where an enterprise changes its business scope and involves pre-licensed business projects, or its approval documents and certificates are changed, it shall apply to the enterprise registration authority for registration of change within 30 days from the date of approval by the examination and approval authority.

If an enterprise changes its business scope to a licensed business project, and the terms of the business project recorded in its approval documents and certificates are inconsistent with the original registration statement or have changed, it may apply to the enterprise registration authority for registration of change with the approval documents and certificates.

Article 9 Where a newly established enterprise applies to engage in pre-licensed business projects due to division or merger, it shall apply to the enterprise registration authority for registration with the approval documents and certificates of the examination and approval authority; Where an enterprise that survives due to division or merger applies to engage in pre-licensed business projects, if it has been approved by the examination and approval authority before the change registration, there is no need to go through the examination and approval procedures again.

Article 10 If an enterprise changes its type, the pre-licensed business projects approved by the examination and approval authorities before the change need not go through the examination and approval procedures again. Except as otherwise provided by laws, administrative regulations or the State Council decisions.

Article 11 If an enterprise changes its investors, the pre-licensed business projects that have been approved by the examination and approval authorities will not go through the examination and approval procedures again. Where an enterprise investor is changed from a domestic investor to an overseas investor, or an enterprise investor is changed from an overseas investor to a domestic investor, the enterprise registration authority shall re-register its business scope in accordance with the approval documents and certificates of the examination and approval authority.

Article 12 The business scope of a branch that cannot bear civil liability independently (hereinafter referred to as a branch) shall not exceed the business scope of the enterprise to which it belongs. Except as otherwise provided by laws, administrative regulations or the State Council decisions.

Where the examination and approval authority separately approves the branch to operate the pre-licensed business project, the enterprise shall apply for increasing the corresponding business scope with the approval documents and certificates of the pre-licensed business project of the branch, and mark the words "(branch operation)" after applying for increasing the business scope.

If a branch engages in pre-approved business projects within the business scope of its affiliated enterprise, it shall report to the examination and approval authority for approval. Except as otherwise provided by laws, administrative regulations or the State Council decisions.

Article 13 The enterprise registration authority shall not register an enterprise under any of the following circumstances:

(1) If it is a pre-licensed business project, the approval documents and certificates of the examination and approval authority cannot be submitted;

(two) laws, administrative regulations or the State Council decisions stipulate that enterprises in a specific industry can only engage in approved projects, and enterprises apply for other projects;

(3) Enterprises whose operations are prohibited by laws, administrative regulations or decisions of the State Council.

Article 14 Under any of the following circumstances, an enterprise shall stop the operation of related projects and apply to the enterprise registration authority for registration of change of business scope or cancellation of registration in time:

(a) the business scope belongs to pre-licensed business projects, and the enterprise fails to apply for approval in accordance with the provisions after the laws, administrative regulations or the State Council decide to adjust it to pre-licensed business projects;

(2) Pre-licensed business projects within the business scope need to be re-examined and approved according to laws, administrative regulations or decisions of the State Council, and the enterprise fails to go through the examination and approval procedures in accordance with relevant regulations and obtain approval;

(3) For the pre-licensed business projects within the business scope, the business term approved by the examination and approval authority expires, and the enterprise fails to re-apply for examination and approval and obtain approval;

(4) The pre-licensed business items in the business scope are revoked, and the license or other approval documents are revoked.

Fifteenth enterprises engaged in business activities without approval and registration shall be investigated and dealt with in accordance with the provisions of relevant laws and regulations.

Article 16 The State Administration for Industry and Commerce shall be responsible for the interpretation of these Provisions.
